How the Board is made up
- Up to six elected directors, chosen by the members from among the members.
- Up to two appointed directors, chosen by New Luce Community Council and re-appointed each year before the AGM.
- Most of the Board must always be elected directors.
At each AGM, one third of the elected directors retire. They can stand for re-election. To stand as a director you need to be a member, and be nominated by two other members.
The Annual General Meeting
Every member is invited to the AGM, usually held in New Luce Memorial Hall. It's where members hear the Chair's report, receive the accounts, and elect directors. Only members can vote, and each member has one vote. If you can't attend, you can appoint a proxy (who doesn't need to be a member) to vote for you: proxy forms must reach the registered office at least 48 hours before the meeting.
The most recent AGM was on 7 October 2026.
Become a member to vote at the AGM and stand for the Board.
Directors' responsibilities
As a company limited by guarantee, the members' liability is limited to £1 each, which protects the people who run it. Directors still take their legal duties seriously, including reporting to Companies House. The Trust follows charity-style good practice: guidance on directors' and trustees' duties is published by SCVO and OSCR.
Get involved
Membership is free for everyone aged 18 or over who lives in the New Luce Community Council area. Members vote at the AGM and can stand as a director.
